1. Agreement to Terms
These Terms of Service ("Terms") govern your use of the payment switching service provided by Driftflow LLC, doing business as Bankdrift ("Bankdrift," "we," "us," or "our"), offered to you through a partnering financial institution. By using the service, you agree to these Terms. If you do not agree, do not use the service.
2. Description of the Service
Bankdrift helps you move recurring payments and direct deposits from a previous bank account to a new one. After you connect your previous account, review the recurring payments we detect, and authorize the switch, we contact the merchants and payers you select to update your account information. Where supported, we may also temporarily maintain a balance in your previous account and move incoming deposits to your new account during the transition so that no payment is missed.
3. Your Authorization
When you click "I Authorize," you grant Bankdrift limited authorization to act on your behalf for the specific and limited purpose of updating your payment information with the merchants and payers you select, and, where applicable, to initiate transfers between your own previous and new bank accounts to prevent missed payments. This is comparable to authorizing an accountant to contact a payer on your behalf. Your authorization is recorded with your name, email, timestamp, and IP address. The authorization remains in effect until all selected payments have been switched or you revoke it.
4. Revoking Authorization
You may revoke your authorization at any time from your switch status page or by emailing switch@bankdrift.com. Upon revocation, we immediately stop contacting merchants and stop any further transfers on your behalf. Payments and transfers already completed cannot be reversed by revocation.
5. No Fees to You
The service is provided to you at no cost. Bankdrift is compensated by the financial institution offering the service.
6. What Bankdrift Is Not
Bankdrift is not a bank and does not provide banking services. Bankdrift does not take custody of, hold, or control your funds. Where transfers occur, they are initiated as instructions and executed by regulated financial institutions and payment providers between accounts you own. Bankdrift is not a money transmitter and is not insured by the FDIC.
7. Your Responsibilities
You agree to provide accurate information, to authorize only switches for accounts you own or are authorized to control, and to keep your previous account open and adequately funded until you receive confirmation that all selected payments have successfully switched. You are responsible for reviewing the list of detected payments and selecting which to switch.
8. Limitations of the Service
While we work to switch every payment you select, some merchants may require additional verification or action on your part, and timing of switches depends on third parties including merchants, payers, and banks. If a payment cannot be switched automatically, we will notify you with instructions. We do not guarantee that every merchant will process a change within a specific timeframe. We recommend keeping your previous account open until you receive confirmation that all payments have switched.
9. Disclaimers
The service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.
10. Limitation of Liability
To the maximum extent permitted by law, Bankdrift and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from your use of the service. This includes fees charged by merchants or banks during the transition period. Nothing in these Terms limits liability that cannot be limited under applicable law.
11. Indemnification
You agree to indemnify and hold harmless Bankdrift from claims arising out of your misuse of the service or your violation of these Terms.
12. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the date above. Continued use of the service after changes take effect constitutes acceptance.
13. Governing Law
These Terms are governed by the laws of the State of Ohio, without regard to its conflict of laws principles.
