1. Agreement to Terms

These Terms of Service ("Terms") govern your use of the payment switching service provided by Driftflow LLC, operating as Bankdrift ("Bankdrift," "we," "us," or "our"), offered to you through a partnering financial institution. By using the service, you agree to these Terms. If you do not agree, do not use the service.

2. Description of the Service

Bankdrift helps you move your recurring payments and direct deposits from a previous bank account to a new one. After you connect your previous account through Plaid, Bankdrift finds your recurring payments and direct deposits and gives you a checklist with your new account details and step-by-step instructions. You update each payment yourself with each merchant or payer and track your progress in the checklist. Bankdrift does not contact merchants or payers on your behalf and does not move money.

3. Your Authorization

When you click “I Authorize,” you authorize Bankdrift to access your account information through Plaid to find your recurring payments and direct deposits, to save your switch details so you can track your progress, to email you about your switch, and to share your switch progress with the financial institution offering you this service. Your authorization is recorded with your name, email, and timestamp. It remains in effect until you revoke it.

4. Revoking Authorization

You may revoke your authorization at any time by emailing switch@bankdrift.com. When you revoke it, we stop emailing you about your switch and stop sharing new progress with your bank. Changes you have already made with your merchants or payers are not affected.

5. No Fees to You

The service is provided to you at no cost. Bankdrift is compensated by the financial institution offering the service.

6. What Bankdrift Is Not

Bankdrift is not a bank and does not provide banking services. Bankdrift does not take custody of, hold, or control your funds. Bankdrift is not a money transmitter and is not insured by the FDIC.

7. Your Responsibilities

You agree to provide accurate information, to authorize only switches for accounts you own or are authorized to control, and to keep your previous account open and adequately funded until you have confirmed that each selected payment has gone through on your new account. You are responsible for reviewing the list of detected payments and selecting which to switch. You are also responsible for updating each payment with the merchant or payer.

8. Limitations of the Service

Bankdrift provides information and guidance to help you switch; you make each change yourself. We may not detect every recurring payment, so please review your account for any we missed. Some merchants and payers may require additional verification, and the timing of each change depends on them. We do not guarantee that any merchant or payer will process a change within a specific timeframe. We recommend keeping your previous account open until you have confirmed that every payment has moved.

9. Disclaimers

The service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

10. Limitation of Liability

To the maximum extent permitted by law, Bankdrift and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from your use of the service. This includes fees charged by merchants or banks during the transition period. Nothing in these Terms limits liability that cannot be limited under applicable law.

11. Indemnification

You agree to indemnify and hold harmless Bankdrift from claims arising out of your misuse of the service or your violation of these Terms.

12. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the date above. Continued use of the service after changes take effect constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the State of Ohio, without regard to its conflict of laws principles.
